1. Scope and B2B Notice
These Terms and Conditions apply to the online shop operated by Štěpán Kovář (hereinafter referred to as "the Seller") at www.kovarstepan.com, for the sale of digital products (software and digital services) to business customers only (B2B).
Notice: This online shop is intended exclusively for business-to-business (B2B) transactions. Consumer protection regulations do not apply.
2. Digital Product and Delivery
- Products are delivered as-is, according to the description and scope in the accepted offer;

Delivery is provided via email or secure download link, usually within 5 business days;

Following full or advance payment, the custom installation package is prepared;

There is no automatic or general download system in place;

All installation packages are tailor-made to the agreed specification and are not sold in general form;

After the cart is submitted, a custom offer is prepared based on the Customer's business data and request;

Customers may add products to the cart via the website. However, this does not constitute a binding purchase;
All products offered are digital in nature, such as software add-ons, plugins, or catalogs;
3. Subject of Contract
The Seller provides software products and related digital services. The scope of delivery includes:

Preparation of a custom installation package;

Delivery via digital download;

Access granted upon full payment or advance payment;

Product licenses governed by a separate End-User License Agreement (EULA);
All orders are custom-made offers based on customer request.
4. Ordering Process

After payment, the Seller prepares and delivers the digital product;

Customer pays either in full or in advance by bank transfer or PayPal;

Upon approval, an invoice is issued;

The Customer must provide a valid Business ID (IČO or equivalent);

A custom offer is prepared and sent to the Customer for approval;
Customer selects a product via the website (cart) or contacts the Seller directly;
5. Pricing and Payment
Prices are provided in EUR or CZK. The Seller is not a VAT payer;

Payment must be made in full or as agreed in advance before delivery;

Available payment methods: Bank Transfer or PayPal;

An invoice will be issued upon acceptance of the offer;
6. License and Use
Software is provided under a non-exclusive, non-transferable license;

The license is granted solely for internal business use;

The license is strictly tied to the Customer's Business ID and cannot be reassigned;

All use is governed by the End-User License Agreement (EULA);

In the event of conflict, the EULA takes precedence over these Terms;

Redistribution, sublicensing, or modification for resale is prohibited;
7. Right of Withdrawal – Waiver
Due to the custom nature of digital products:
The Customer explicitly waives their right to withdraw from the contract once the digital delivery begins or has been made accessible.
This is in line with applicable EU and Czech legislation for B2B digital content sales.
8. Warranty and Support
Products are provided as-is, based on the scope described in the offer;

The Seller will address any defect reported within a reasonable timeframe;

Customers are responsible for ensuring the suitability of the product for their system and purpose;

9. Limitation of Liability
The Seller is not liable for indirect or consequential damages;

Total liability is limited to the amount paid for the specific product;

The Seller is not responsible for data loss, technical issues, or incompatibility with third-party systems;
10. Data Protection
The Seller collects and stores only essential personal and company data:

Email address, name, and business name / Business ID;

This data is used solely for processing the order and is not shared with third parties;

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Czech Republic;

The competent courts in the Czech Republic shall have exclusive jurisdiction over disputes;

Place of performance: registered address of the Seller unless agreed otherwise;
12. Final Provisions
These Terms are valid from 20 July 2025;

The Seller may update these Terms at any time without prior notice;

Invalidity of any provision does not affect the remaining provisions;

By placing an order, the Customer confirms they are a business entity and accept these Terms;
